Terms and Conditions

1. Introduction and Acceptance of Terms
Welcome to RecruitGo. These Terms and Conditions ("Terms") govern your access to and use of the services provided by RecruitGo Pte. Ltd. ("RecruitGo," "we," "us," or "our"), including our Employer of Record (EOR), global payroll, compliance, and benefits administration services across 40+ countries worldwide.
By accessing our website at https://recruitgo.com (the "Platform") or engaging our services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.
These Terms constitute a legally binding agreement between you and RecruitGo. If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- Service — The Employer of Record, payroll processing, compliance management, benefits administration, and related services provided by RecruitGo, as well as the Platform through which these services are accessed and managed.
- Client — The company or individual that engages RecruitGo to provide EOR or related services on their behalf.
- Employee — An individual who is employed by RecruitGo (or its local entity) on behalf of the Client under an EOR arrangement.
- EOR Services — Employer of Record services whereby RecruitGo acts as the legal employer of the Employee in a given jurisdiction, managing employment contracts, payroll, tax withholding, statutory benefits, and compliance with local labor laws.
- Platform — The RecruitGo website, dashboard, and any associated software applications used to deliver and manage the Service.
3. Description of Services
RecruitGo provides a comprehensive suite of global employment services designed to help businesses hire, manage, and pay employees in countries where they may not have a legal entity. Our services include:
Employer of Record (EOR)
RecruitGo acts as the legal employer for your workforce in supported jurisdictions. We handle employment contracts, onboarding, termination processes, and all statutory employer obligations in accordance with local labor laws.
Payroll Processing
We manage end-to-end payroll for Employees, including salary calculations, tax withholding, social security contributions, statutory deductions, and timely disbursement of wages in local currencies.
Compliance Management
RecruitGo ensures that all employment arrangements comply with applicable local labor laws, tax regulations, and statutory requirements in each jurisdiction where Employees are based.
Benefits Administration
We administer statutory and supplementary employee benefits, including health insurance, retirement contributions, paid leave, and other benefits as required by local law or agreed upon with the Client.
4. Client Obligations
As a Client of RecruitGo, you agree to the following obligations:
- Accurate Information. You shall provide complete, accurate, and up-to-date information necessary for RecruitGo to perform its services, including employee details, compensation structures, job descriptions, and any other relevant data.
- Timely Payments. You shall make all payments to RecruitGo in accordance with the agreed-upon payment schedule and terms. Failure to make timely payments may result in disruption of services.
- Cooperation with Compliance. You shall cooperate fully with RecruitGo in meeting all regulatory and compliance requirements, including providing documentation and information as reasonably requested.
- Lawful Work Direction. You are responsible for ensuring that the work you direct Employees to perform complies with all applicable laws and does not expose Employees to unsafe or unlawful working conditions.
- Platform Use. You shall use the Platform only for its intended purposes and shall not attempt to access, tamper with, or use non-public areas of the Platform, its computer systems, or the technical delivery systems of its providers.
5. Service Fees and Payment
Service fees are set forth in the applicable service agreement or order form executed between you and RecruitGo. The following general payment terms apply:
- All invoices are issued in United States Dollars (USD) unless otherwise agreed in writing.
- Payment is due within thirty (30) days of the invoice date (net 30) unless a different payment term is specified in your service agreement.
- Late payments shall accrue interest at a rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until the date of payment.
- RecruitGo reserves the right to suspend services if payment is overdue by more than fifteen (15) days, provided that we give you written notice and a reasonable opportunity to cure the default.
- You are responsible for all applicable taxes, duties, and government charges associated with the services, excluding taxes on RecruitGo's net income.
6. Employment Relationship
Under an EOR arrangement, RecruitGo serves as the legal employer of the Employee in the relevant jurisdiction. This means:
- RecruitGo is responsible for executing employment contracts, managing payroll, withholding and remitting taxes, and administering statutory benefits in compliance with local laws.
- The Client retains full control over the day-to-day work activities, tasks, performance management, and professional development of the Employee.
- The Client does not have a direct employer-employee relationship with the Employee for legal or tax purposes in the Employee's jurisdiction.
- RecruitGo will manage all employment-related matters, including onboarding, offboarding, and termination processes, in accordance with local labor laws and in consultation with the Client.
7. Compliance and Legal
RecruitGo is committed to maintaining compliance with local labor laws, employment regulations, and tax requirements in every jurisdiction where we operate. However, it is important to understand the shared nature of compliance responsibilities:
- RecruitGo's Responsibilities. We ensure that employment contracts, payroll processing, tax withholdings, and statutory benefits comply with all applicable local laws and regulations.
- Client's Responsibilities. You are responsible for ensuring that the work you assign to Employees is lawful, that you comply with any industry-specific regulations applicable to your business, and that you do not direct Employees to engage in activities that violate applicable laws.
- RecruitGo does not provide legal advice. We recommend that Clients seek independent legal counsel for jurisdiction-specific questions or complex employment matters.
8. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the business relationship:
- Mutual Obligations. Each party shall treat the other party's confidential information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.
- Scope. Confidential information includes, but is not limited to, business plans, financial information, employee data, pricing, technical data, trade secrets, and any other information designated as confidential or that reasonably should be understood to be confidential.
- Exceptions. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law, regulation, or court order.
- Employee Data. RecruitGo shall handle all Employee personal data in accordance with applicable data protection laws and our Privacy Policy.
9. Data Protection
RecruitGo takes the protection of personal data seriously. We process personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
- We collect and process Employee and Client data solely for the purposes of providing our services and fulfilling our legal obligations.
- We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.

- Where required, RecruitGo will enter into data processing agreements with Clients to ensure compliance with applicable data protection regulations.
10. Intellectual Property
Client Work Product
All work product, inventions, and intellectual property created by Employees in the course of their employment and within the scope of their duties shall belong to the Client, subject to applicable local laws. RecruitGo will include appropriate intellectual property assignment provisions in employment contracts as permitted by local law.
RecruitGo Platform and IP
The Platform, including its design, features, functionality, source code, documentation, and all related intellectual property rights, is and shall remain the exclusive property of RecruitGo. Nothing in these Terms grants you any right, title, or interest in the Platform or RecruitGo's intellectual property, except for the limited right to access and use the Platform in connection with the services.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- RecruitGo's total aggregate liability arising out of or in connection with these Terms or the services shall not exceed the total fees paid by the Client to RecruitGo during the twelve (12) months immediately preceding the event giving rise to the claim.
- In no event shall RecruitGo be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, regardless of the cause of action or the theory of liability, even if RecruitGo has been advised of the possibility of such damages.
- RecruitGo shall not be liable for any delays, failures, or disruptions in the services caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, labor disputes, internet or telecommunications failures, or other force majeure events.
12. Indemnification
Each party agrees to indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- By Client. The Client shall indemnify RecruitGo against claims arising from: (a) the Client's breach of these Terms; (b) the Client's negligence or willful misconduct; (c) the Client's violation of any applicable law or regulation; or (d) any work direction provided by the Client that results in harm to an Employee or a third party.
- By RecruitGo. RecruitGo shall indemnify the Client against claims arising from: (a) RecruitGo's breach of these Terms; (b) RecruitGo's negligence or willful misconduct; (c) RecruitGo's failure to comply with applicable employment or tax laws in its capacity as the legal employer; or (d) any infringement of third-party intellectual property rights by the Platform.
13. Term and Termination
Term
These Terms are effective from the date you first access or use our services and shall remain in effect until terminated by either party in accordance with this section.
Termination for Convenience
Either party may terminate these Terms by providing at least ninety (90) days' prior written notice to the other party, unless a different notice period is specified in the applicable service agreement.
Termination for Cause
Either party may terminate these Terms immediately upon written notice if the other party: (a) materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice; (b) becomes insolvent, files for bankruptcy, or ceases to operate in the ordinary course of business.
Effect of Termination
Upon termination of these Terms:
- RecruitGo will work with the Client to ensure a smooth transition of Employees, which may include transferring employment to the Client's own entity, a new employer, or managing lawful termination of employment contracts in accordance with local labor laws.
- The Client shall pay all outstanding invoices and fees accrued through the effective date of termination, including any costs associated with Employee transition or termination as required by local law.
- Provisions that by their nature should survive termination (including confidentiality, limitation of liability, indemnification, and governing law) shall continue in effect after termination.
14. Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
15. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be resolved as follows:
- Negotiation. The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days from the date one party notifies the other of the dispute.
- Arbitration. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with its rules. The seat of arbitration shall be Dubai, UAE. The language of the arbitration shall be English. The arbitral tribunal shall consist of one (1) arbitrator.
- Injunctive Relief. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.
16. Amendments
RecruitGo reserves the right to modify or update these Terms at any time. When we make changes, we will:
- Post the updated Terms on the Platform with a revised effective date.
- Notify existing Clients of material changes via email at least thirty (30) days before the changes take effect.
- Your continued use of the services after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may terminate these Terms in accordance with Section 13.
17. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.
18. Entire Agreement
These Terms, together with any service agreements, order forms, and the Privacy Policy, constitute the entire agreement between you and RecruitGo with respect to the subject matter hereof. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between the parties regarding the subject matter herein. In the event of a conflict between these Terms and any service agreement or order form, the terms of the service agreement or order form shall prevail to the extent of the conflict.
